Terms and Conditions for Foodservice Alliance
Effective Date: May 29th 2025
These Terms and Conditions (“Terms”) govern your use of the Foodservice Alliance platform (“Platform”), a multi-vendor marketplace connecting buyers and vendors in the foodservice industry. By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
1. Definitions
- “Platform” refers to the Foodservice Alliance website and related services.
- “Foodservice Alliance,” “we,” “us,” or “our” refers to the company operating the Platform.
- “Vendor” refers to any person or entity offering products or services for sale on the Platform.
- “Buyer” refers to any person or entity purchasing products or services on the Platform.
- “User” refers to any individual or entity using the Platform, including Vendors and Buyers.
2. Eligibility
You must be at least 18 years old and legally capable of entering into binding contracts to use the Platform. By using the Platform, you represent that you meet these eligibility requirements and that all information you provide is accurate and truthful.
3. Account Registration
To use certain features of the Platform, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration.
- Maintain the security of your login credentials.
- Notify us promptly of any unauthorized access to your account.
- Be responsible for all activities that occur under your account.
4. Vendor Terms
As a Vendor on Foodservice Alliance, you agree to:
- Accurately list your products or services, including pricing, descriptions, and applicable requirements (e.g., health certifications).
- Comply with all applicable food safety, labeling, and legal standards.
- Fulfill orders promptly and in accordance with your listed policies.
- Pay applicable fees, commissions, and taxes as outlined by Foodservice Alliance.
- Grant Foodservice Alliance a non-exclusive, worldwide, royalty-free license to display, promote, and use your content (e.g., product images and descriptions) for marketing and Platform purposes.
- Resolve disputes with Buyers in good faith and cooperate with our support team as needed.
Prohibited products and services include, but are not limited to, illegal goods, hazardous materials, and items that violate intellectual property rights.
5. Buyer Terms
As a Buyer on Foodservice Alliance, you agree to:
- Provide accurate information when placing orders.
- Make timely payments for purchases.
- Acknowledge that Vendors, not Foodservice Alliance, are responsible for the products or services sold.
- Review and understand each Vendor’s return, refund, and cancellation policies.
- Contact the Vendor directly to resolve any issues with your order, and escalate to Foodservice Alliance if necessary.
6. Marketplace Rules
All Users must comply with the following:
- Do not engage in fraudulent, abusive, or illegal activities.
- Do not infringe on the intellectual property or rights of others.
- Do not upload harmful content or attempt to interfere with the Platform’s functionality.
- Comply with all applicable food safety, health, and legal standards in your jurisdiction.
7. Payments and Fees
- Foodservice Alliance facilitates payments between Buyers and Vendors via a third-party payment processor.
- Vendors authorize Foodservice Alliance to collect payments from Buyers and deduct applicable fees before disbursing payouts.
- Foodservice Alliance’s commission structure and fee schedule will be outlined separately and may be updated from time to time with notice.
- Vendors and Buyers are responsible for their own taxes, including sales tax, VAT, or any other applicable taxes.
8. Intellectual Property
- The Foodservice Alliance name, logo, and Platform design are our exclusive property.
- Vendors retain ownership of their content but grant us a license to use it as described in Section 4.
- Users may not copy, distribute, or create derivative works from Platform content without our express permission.
9. Privacy Policy
Your use of the Platform is also governed by our Privacy Policy, which describes how we collect, use, and protect your data.
10. Disclaimers and Limitation of Liability
- Foodservice Alliance is a facilitator, not the seller. We do not guarantee the quality, safety, or legality of products or services sold by Vendors.
- The Platform is provided “as is” and “as available” without warranties of any kind.
- To the fullest extent permitted by law, we disclaim all liability for damages arising from your use of the Platform, including indirect or consequential damages.
11. Indemnification
You agree to indemnify, defend, and hold harmless Foodservice Alliance, its officers, directors, employees, and agents from any claims, damages, or expenses (including legal fees) arising from your use of the Platform, your content, or your breach of these Terms.
12. Termination
We may suspend or terminate your account at any time for violations of these Terms or for any reason at our discretion. You may terminate your account by contacting us in writing.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of British Columbia / Canada.. Any disputes arising out of or related to these Terms will be resolved through binding arbitration in Vancouver, British Columbia, except where prohibited by law.
14. Changes to the Terms
We may update these Terms at any time. We will notify you of material changes via email or the Platform. Continued use of the Platform after changes are made constitutes your acceptance of the updated Terms.
15. Miscellaneous
- These Terms, along with our Privacy Policy, constitute the entire agreement between you and Foodservice Alliance.
- If any provision is found to be unenforceable, the remaining provisions remain in full effect.
- Our failure to enforce any right or provision is not a waiver of that right.
